These Terms and Conditions of Use (the "Terms") govern access to and use of the OneHAIT technology platform (the "Platform"), developed and operated by Edifice Information Ventures, LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America, doing business as EIVENX ("EIVENX").
The Platform is a technology infrastructure through which educational institutions, academies and instructors (the "Institutions") offer courses, programs and degree tracks to their students, with tools for the protection of content.
The User represents that they have read, understood and accepted in full these Terms and the Monitoring and Content Protection Policy, which forms an integral part of them. Acceptance is given expressly upon registration or first use of the Platform, and is recorded with the date, time, device and version of the accepted document.
If the User does not agree with all of these provisions, the User shall not access or use the Platform.
EIVENX provides the Platform. Each Institution is responsible for the educational service it offers: its content, prices, payment methods, invoicing, course format, assessments and refund policy are governed by the terms agreed between the Institution and the User. These Terms govern only the use of the Platform and supplement the terms of each Institution.
These Terms are drafted in English. The English version is the official and governing version. Any translation is provided for convenience only and, in the event of a discrepancy, the English version shall prevail, to the extent permitted by applicable law.
The Account is personal and non-transferable. It belongs to a single person and may not be shared, assigned, sold or used by third parties under any circumstances.
The User is solely responsible for safeguarding their credentials and for all activity carried out through their Account. Any use of the Account is presumed to have been made by its holder.
The User warrants that the information they provide is true, accurate and current. EIVENX and the Institution may request additional information to verify the User's identity.
The Platform, its software, design, source code, databases, trademarks, trade names and logos are the exclusive property of EIVENX and are protected by intellectual and industrial property laws and by applicable international treaties.
Protected Content belongs to the Institution or to the instructor who created it. The access granted to the User is a limited, personal, non-exclusive, non-transferable and revocable license, solely for the User's personal study during the period enabled by the Institution. No right in the Protected Content is transferred to the User.
The following are strictly prohibited, absent the prior, express and written authorization of the rights holder:
To protect Protected Content, the Platform uses security and monitoring systems that record technical information about the use of the Account, the device and the session. Suspicious activity is detected, recorded and retained, and may give rise to the measures set out in Section 8 automatically and without prior notice.
The scope, purposes and retention of that information are described in the Monitoring and Content Protection Policy, which the User accepts together with these Terms. For security reasons, EIVENX does not disclose the methods, criteria or configurations it uses to detect suspicious activity.
In the event of a breach of these Terms, or of activity that EIVENX or the Institution considers suspicious or a risk to Protected Content, the following measures may be applied, according to its severity:
These measures may be applied automatically by the Platform or by decision of EIVENX or the Institution, and will be notified to the User through the Platform or the contact details on record. Reinstatement of a blocked Account is at the discretion of the Institution and is recorded.
Blocking for breach does not give rise to any right to a refund of amounts paid, which are governed by the terms of the Institution, to the extent permitted by applicable law. The application of these measures does not prevent EIVENX or the Institution from bringing any civil or criminal action available for the damage caused.
EIVENX processes the User's personal data in order to provide the Platform, protect Protected Content, prevent fraud and comply with legal obligations. EIVENX does not sell personal data.
With respect to Students, EIVENX acts as technical processor on behalf of the Institution. The security data recorded, its retention and the User's rights are described in the Monitoring and Content Protection Policy.
Data may be stored and processed in the United States of America and in other countries where EIVENX's technology providers operate, subject to reasonable security measures and appropriate contractual safeguards.
Comments, messages and files that the User posts in forums, submissions or other areas of the Platform are the User's sole responsibility. The User shall hold EIVENX and the Institution harmless from any claim arising from them. EIVENX and the Institution may remove content that breaches these Terms.
EIVENX will use reasonable means to keep the Platform available, but does not warrant that it will operate without interruption or error. The Platform may be unavailable due to maintenance, updates, technical failures, internet outages or causes beyond EIVENX's control, in which case EIVENX will endeavor to restore it as soon as practicable.
EIVENX may require the application to be updated to its current version as a condition of continued use.
To the maximum extent permitted by applicable law, EIVENX shall not be liable for indirect damages, lost profits or loss of data arising from the use of, or inability to use, the Platform, nor for the educational content, academic decisions or commercial terms of the Institutions.
EIVENX may amend these Terms. Amendments will be announced on the Platform, and the User will be asked to give a new express acceptance before continuing to use it. The current version and its date appear at the top of this document.
These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict of laws rules. Any dispute arising from their interpretation or performance shall be submitted to the state and federal courts with jurisdiction in the State of Wyoming.
The foregoing is without prejudice to any non-waivable rights that the consumer protection laws of the User's country of residence may grant.
